Welcome to Zuuro, an online marketplace where consumers can explore and purchase jewelry from various independent sellers. These Terms and Conditions (“Agreement”) outline the rules and responsibilities for using the Zuuro platform. By creating an account, browsing products, or making a purchase, you agree to comply with and be bound by these terms.

1. General Information

 Zuuro connects jewelry buyers and independent sellers through an online marketplace that facilitates product discovery, purchase, order processing, and dispute resolution.

2. Eligibility and Account Management

• Users must be at least 18 years old to register and make purchases.
• Buyers are required to provide accurate and complete information during account registration and maintain updated details.
• Buyers are solely responsible for securing login credentials and for all actions under their account.
• Zuuro may suspend or terminate accounts in cases of suspected fraud, misuse, or breach of terms.
• Buyers may request account deactivation or deletion, but transaction history or personal data may be retained for legal or compliance purposes.

3. Purchasing and Buyer Obligations

• Placing an order constitutes a legally binding agreement to purchase the product as described.
• Buyers agree to provide valid payment, billing, and shipping information.
• Orders are considered confirmed upon receipt of an order confirmation.
• Buyers must not use seller product images, trademarks, or listing content for any unauthorized purposes. Refer point 14 for more details.
• Buyers agree to use the platform ethically and refrain from violating policies or applicable laws.

4. Product Listings and Information

• Product listings are created and maintained by independent sellers.
• Listings must include accurate descriptions, certifications, pricing, and images.
• While Zuuro may review or verify listings, it does not guarantee product accuracy or authenticity unless explicitly stated.
   In the event a product listing is found to be inaccurate—such as incorrect material details, misleading certification claims, or deceptive imagery—Zuuro reserves the right to take corrective action. This may include:
  • Immediate removal or suspension of the listing
  • Seller warnings or penalties, including temporary or permanent account suspension for repeated offenses
  • Refunds or order cancellations, where applicable, to protect buyers from misleading purchases
  • Investigation and verification of the seller’s remaining listings for consistency and compliance

                 Buyers are encouraged to report discrepancies, and sellers found intentionally misrepresenting products may be subject to legal action under applicable consumer protection laws.

• Jewelry authentication services, when available, will be indicated in the listing details.

5. Payments and Pricing

• All transactions are conducted in Japanese Yen (JPY) and processed securely via third-party payment gateways.
• Accepted methods may include credit cards, debit cards, and digital wallets.
• Buyers are responsible for paying for all applicable shipping fees, Japanese taxes, and any customs or import duties levied by their local government.
• Zuuro may withhold payments temporarily in cases involving disputes, fraud, or high-risk activity.

6. Shipping and Delivery

• Delivery timeframes, methods, and charges are specified at checkout and determined by the seller or Zuuro Fulfillment, where applicable.
• Buyers assume title and risk of loss upon delivery confirmation.
• Sellers are responsible for proper packaging and shipping compliance.
• Delivery may be affected by external factors (e.g., customs delays, natural disasters) for which Zuuro is not liable.

7. Returns and Refunds

• Returns are governed by Zuuro’s Refund Policy.
• Buyers must return items in original, unused condition, with all tags, certificates, and packaging intact.
• Sellers are responsible for return costs in cases of defects, incorrect shipments, or misrepresentations.
  Zuuro reserves the right to mediate disputes between buyers and sellers and may, at its sole discretion, approve or reject return or refund claims based on the evidence provided. Sellers failing to comply with quality or listing standards may be held liable for additional administrative actions or penalties.

8. Disputes and Buyer Protection

• Buyers may initiate disputes through Zuuro’s A-to-Z Guarantee process for issues like non-delivery or misrepresentation.
• Zuuro may mediate between the buyer and seller but does not assume final liability unless due to its own negligence.
• Buyers agree to cooperate and act in good faith during dispute investigations.
• Final dispute decisions may involve partial refunds, full refunds, or denial of claims.

9. Intellectual Property and Content Use

• All content displayed on Zuuro—including product images, descriptions, certificates, and branding—is protected by intellectual property laws. While individual sellers and service vendors retain ownership of the content they provide, such content is exclusively licensed to Zuuro for use on the platform and presented under the Zuuro brand without public attribution.
  Zuuro owns all platform-generated content, including user interface design, graphics, logos, curated collections, and promotional materials.
  Unauthorized use, reproduction, or distribution of any content from the Zuuro platform is strictly prohibited without express written permission from Zuuro or the original rights holder (as applicable, via Zuuro). This includes, but is not limited to, copying product visuals, descriptions, or platform design elements for use outside the Zuuro ecosystem.
• Buyers may not reproduce or distribute platform content without prior written consent.
• By submitting reviews, ratings, or images, buyers grant Zuuro a perpetual, royalty-free license to use, modify, publish, or distribute such content across marketing, blogs, affiliates, and advertisements.
• All user-generated content must be original and not infringe on any third-party rights.

10. Platform Services and Limitations

• Zuuro provides its platform and services to users in their current form, with no guarantees regarding continuous uptime, uninterrupted access, or assured sales performance. While we strive for a high-quality, reliable experience, there may be occasional disruptions, maintenance, or technical issues.
  Zuuro does not guarantee that every product will be sold, nor does it promise a specific level of visibility or profitability for any user or listing. Use of the platform is at the user's discretion, and all services are subject to change or improvement over time without prior notice.
• Services may be temporarily unavailable due to maintenance, upgrades, or unforeseen technical issues.
• Zuuro is not liable for any loss, delays, or issues arising from events beyond its control, including but not limited to:

  • Pandemics
  • Government restrictions
  • Failures of third-party service providers (e.g., payment processors)

11. Indemnification

Buyers agree to indemnify and hold harmless Zuuro, its employees, and affiliates from any losses, claims, or liabilities resulting from:

• Breach of these Terms
• Illegal activity on the platform
• Misuse of third-party content or infringement of intellectual property

12. Governing Law and Jurisdiction

• These Terms and all activities on the platform are governed by the laws of Japan.
• Disputes shall be resolved in the Tokyo District Court or Tokyo Summary Court, depending on the claim.
• Arbitration may be considered as an alternative dispute resolution if mutually agreed.

13. Modification of Terms

• Zuuro reserves the right to update these Terms at any time.
• Material changes will be communicated via the platform or email with reasonable notice (e.g., 15 days).
• Continued use of the platform following such changes constitutes acceptance of the revised Terms.

14. Unauthorized Use of Seller Intellectual Property

Buyers are strictly prohibited from copying, reproducing, distributing, or otherwise using any content belonging to sellers without explicit permission. This includes, but is not limited to:

• Product images, including photos and videos displayed in listings
• Logos, watermarks, or any form of brand identifiers associated with a seller
• Product descriptions, specifications, or other written content provided by sellers
• Designs, CAD renders, or customization ideas unique to a seller’s collection

Such materials are protected under intellectual property laws and are provided solely for the purpose of evaluating and purchasing products on the Zuuro platform. Unauthorized use—including reposting on social media, third-party websites, or using content for commercial gain—constitutes a violation of these terms and may result in legal action and/or permanent account suspension.

Zuuro reserves the right to take immediate action against any buyer found misusing seller content, including notifying the affected seller, revoking access to the platform, and reporting violations to legal authorities where applicable.

16. Prohibited Acts and Practices

To maintain platform integrity and ensure a fair, secure environment for all users, the following actions are strictly prohibited on the Zuuro platform. Buyers found engaging in any of the practices below may face account suspension, legal consequences, or permanent banning from the platform:

• Web Scraping or Automated Data Collection
   Buyers must not use bots, scripts, or automated tools to extract data, listings, images, or any other content from Zuuro.
• Unauthorized Use of Product Images or Content
   Product images and descriptions are intended solely for the purpose of evaluating or purchasing the item on Zuuro. Reuse for commercial gain, marketing, or third-party platforms (including resale websites and social media) without explicit permission is prohibited.
• Re-listing Products Outside of Zuuro
   Buyers may not re-list products or replicate listings from Zuuro on external marketplaces, websites, or catalogs, whether for resale, affiliate promotion, or otherwise, without written approval.
• Dropshipping Without Consent
   Using Zuuro as a dropshipping source—i.e., purchasing products with the intent to resell or fulfill third-party orders without disclosure or permission—is not allowed.
• Bypassing Platform Communication
   Attempting to directly contact or negotiate with sellers outside the Zuuro platform, whether through email, phone, or social media, is a violation of platform policies. All buyer-seller communication must be conducted via Zuuro’s official messaging or support channels.
• Circumventing Fees or Policies
   Any effort to manipulate pricing, evade fees, or misrepresent buyer intent (e.g., placing false orders) will be treated as a breach of this Agreement.
• Uploading or Distributing Malicious Content
   Buyers must not introduce malware, phishing links, or any harmful software or scripts onto the platform.
• Misuse of Promotional Tools or Features
   Abusing coupons, referral systems, or other promotional tools for fraudulent benefit is strictly prohibited.

Zuuro reserves the right to investigate, document, and act upon any violation of the above rules, including reporting the matter to appropriate authorities, initiating civil or criminal proceedings, and sharing relevant data with impacted sellers or partners.
